ARTICLES OF ASSOCIATION OF THE
ILLINOIS STATE PERFUSION SOCIETY
We, the undersigned natural persons, do hereby adopt
the following Articles of Association for the Illinois State Perfusion
Society.
ARTICLE I
NAME
The name of the Association is Illinois State Perfusion Society
(the "Association").
ARTICLE II
DURATION
The period of its duration is perpetual.
ARTICLE III
PURPOSE
The purposes for which the Association is organized are to
promote the public health and safety by sponsoring educational
meetings and activities that will help state perfusionists maintain
their level of competence in the practice of perfusion. Additionally,
the Association will educate the Illinois legislature and general
public about the need for perfusion performed by properly trained
and educated perfusionists. The Association will engage in activities
which further the common interests of all perfusionists performing
services in the state of Illinois. The Association is established
to perform professional organization /trade association activities
within the meaning of Internal Revenue Code section 501(c)(6)
and the regulations thereunder. The activities of the organization
will include, but not be limited to lobbying the Illinois legislature
in proposing, supporting or opposing legislation which affects
the safe practice of perfusion by perfusionists.
ARTICLE V
RESTRICTIONS AND REQUIREMENTS
No part of the net earnings of the Association shall inure
to the benefit of any officer of the Association, or any private
individual (except that reasonable compensation may be paid for
services rendered to or for the Association affecting one or more
of its purposes), and no officer of the Association, or any private
individual shall be entitled to share in the distribution of any
of the Association assets on dissolution of the Association.
The Association shall not carry on any unrelated trade or business
except as a secondary purpose related to the Association's primary,
exempt purpose.
Notwithstanding any of the above statements of purposes and powers,
the Association shall not, except to an insubstantial degree,
engage in any activities or exercise any powers that are not in
furtherance of the primary purposes of the Association.
The Association does not contemplate pecuniary gain or profit
to any persons affiliated with it and is organized for non-profit
purposes.
Notwithstanding any other provisions of these Articles of Association,
the Association shall not conduct or carry on any activities not
permitted to be conducted or carried on by an organization exempt
from taxation under Section 501(c)(6) of the Internal Revenue
Code and the regulations thereunder as they now exist or as they
may hereafter be amended.

ARTICLE VI
INITIAL REGISTERED OFFICE AND AGENT
The street address of the initial registered office of the
Association is: 476 Delaware Circle, Bolingbrook, IL, 60440, and
the name of its initial registered agent at the address is Carole
Davis.
ARTICLE VII
OFFICERS
The qualifications, manner of selection, duties, terms and
other matters relating to the Association's officers shall be
provided in the bylaws. The number of officers is six and the
names and addresses of the persons who are to serve as the initial

of bylaws.
ARTICLE VIII
ASSOCIATION MEMBERS
This Association shall have one or more classes of members
as provided in the bylaws of the Association.
ARTICLE IX
LIMITATION OF LIABILITY OF OFFICERS
An officer is not liable to the Association or members for
monetary damages for an act or omission in the officer's capacity
as officer except to the extent otherwise provided by a statute
of the state of Illinois.

ARTICLE X
INDEMNIFICATION
The Association may indemnify a person who was, is, or threatened
to be made a named defendant or respondent in litigation or other
proceedings because the person is or was an officer or other person
related to the Association as provided by the provisions in the
Act governing indemnification. As provided in the bylaws, the
officers shall have the power to define the requirements and limitations
for the Association to indemnify officers, members, or others
related to the Association.
ARTICLE XI
CONSTRUCTION
All references in these Articles of Association to statutes,
regulations, or other sources of legal authority shall refer to
the authorities cited, or their successors, as they may be amended
from time to time.
